As discussed at the May General Meeting, the Bylaws Committee has recommended and the Board has agreed to the following Bylaw changes. The next step is Member approval at the next General Meeting. Any Member who has a question or issue with any of these changes should contact a member of the Bylaw Committee (Jack Lott, Steve Page or Rob Salthouse) before the next General Meeting. These changes will be voted on at the June General Meeting and a simple majority is required to pass the proposed changes.
Proposed Revision #1 - Pleasure Craft Definition
Current wording:
For the purpose of this article, a pleasure craft is described as any vessel, used for pleasure, that can be safely operated on the open waters of Puget Sound.
Proposed wording:
For the purpose of these Bylaws, a vessel is defined as any watercraft that is a minimum of sixteen (16) feet in length and powered by either a motor of not less than ten (10) horsepower or by sail as the primary means of propulsion. A pleasure craft is any vessel, as defined herein, used for personal recreation or enjoyment on the navigable waters of Puget Sound or Washington State. (This definition aligns with WA State boat registration specifications)
Why is it important?
Currently Flag Officers on the Board must own a “Pleasure Craft” so it impacts who can serve as a Flag Officer
Proposed Revision #2 - Financial Review
Current wording:
The Board of Trustees shall require an independent audit of the books of the Club. The Treasurer must provide information to the audit effort.
Proposed wording:
The Board of Trustees shall require a financial review of the books of the Club conducted by two Club members in good standing who are not serving on the current Board of Trustees. The Treasurer must provide information to support the financial review.
Why is it important?
An “Audit” has specific legal implications and require hiring accountants to perform the Audit. A “review” by Club Members should accomplish the aims of the Bylaws at much lower cost
Proposed Revision #3 - Reserve Funds
Current wording:
ARTICLE VII Reserve Funds: The purpose of the four reserve funds
Proposed wording:
ARTICLE VII Reserve Funds: The purpose of the Three reserve funds
Why is it important?
There are only three reserve funds that we can identify so this corrects the Bylaw:
- Operating Contingency Fund
- Long Range Reserve Fund
- Capital Reserve Fund
